1. What 12Below is

12Below is an online marketplace that connects private sellers, dealers, and buyers in the DMV region (DC, Maryland, Virginia) for the purpose of buying and selling used vehicles. We provide listings, pricing tools, lead routing, and optional financing referrals.

2. What 12Below is NOT

• We are not a dealer. We do not own vehicles.
• We are not a financial institution. We do not lend money.
• We are not an escrow service unless explicitly stated for a specific transaction.
• We do not inspect vehicles or verify the accuracy of listings beyond what we explicitly state.
• We are not a party to transactions between buyers and sellers. We facilitate connections only.

3. Your responsibilities as a seller

• Provide accurate vehicle information (VIN, mileage, condition, title status, asking price)
• Disclose any known defects, accident history, or open liens
• You own the vehicle and have the legal right to sell it
• Handle title transfer, payment collection, and tax obligations in accordance with state law
• Comply with all applicable laws including consumer protection and disclosure requirements

4. Your responsibilities as a buyer

• Inspect the vehicle in person before purchasing
• Verify the title is clean and matches the seller’s identification
• Confirm any payment method is legitimate before transferring funds
• Handle title transfer and registration in accordance with state law
• Make your own decisions about whether to buy. We do not provide automotive or financial advice.

5. Pricing model

12Below recommends private seller listing prices at approximately 12% below the current market retail value for that vehicle, as estimated by our pricing data (MarketCheck). The actual sale price is negotiated between buyer and seller. We do not guarantee any specific sale price.

6. Fees

Our current fee structure:

• Listings: Free during the launch period. Fees may apply in the future.
• Closed sale fee for private sellers: 1.99% of sale price, payable to 12Below upon successful sale.
• Closed sale fee for dealers: $299 flat per unit sold through the platform.
• Financing referrals: Free to you. We may earn a referral fee from the lender.

Fees may change with notice posted on this page.

7. Prohibited use

You agree not to:

• Post false, misleading, or fraudulent listings
• Use the platform for any illegal activity
• Harass or threaten other users
• Scrape, copy, or republish our listings without permission
• Attempt to circumvent our fees by completing transactions off-platform with users you met through 12Below

8. Disclaimers

12Below is provided “as is” without warranties of any kind. We do not guarantee:

• The accuracy of any listing
• The condition, history, or legal status of any vehicle
• The identity or honesty of any user
• That any specific buyer or seller will close a transaction
• Uninterrupted or error-free service

9. Limitation of liability

To the maximum extent allowed by law, 12Below is not liable for any indirect, incidental, consequential, or special damages arising from your use of the platform. Our total liability is limited to the amount of fees you have paid us in the 12 months prior to the claim.

You are solely responsible for your transactions with other users.

10. Dispute resolution

For disputes with other users (e.g. vehicle condition disputes, payment issues): 12Below is not a party to these disputes. We encourage you to resolve them directly. We may, at our discretion, provide records relevant to a dispute if requested.

For disputes with 12Below directly: contact us first at hello@12belowcars.com. If we cannot resolve the dispute within 60 days, it will be settled by binding arbitration in the state of Maryland under the rules of the American Arbitration Association.

11. Termination

We may terminate your access to 12Below at any time for any reason, including violation of these terms. You may stop using 12Below at any time. Termination does not relieve you of obligations that arose before termination.

12. Governing law

These terms are governed by the laws of the State of Maryland, United States, without regard to conflict of laws principles.

13. Changes

We may update these terms. Continued use of 12Below after changes are posted constitutes acceptance.
